These Terms of Service (the “Terms”) represent an agreement that is legally enforceable between you (the user) and TorNews (we, us) & include every right, obligation, & agreement you have when you use our website, services, content, and/or features (the Site or Services).

If you continue to use this Site, it means you already recognize these Terms & will also keep to them.  If you do not agree with them, you shouldn’t use the site at all. 

1. Eligibility & Acceptance

Eligibility

You must be at least 13 years old before you can qualify to use this Site freely, but if your jurisdiction mandates you to be older than 13 years,  you must obey the local law. If you are under the applicable age, you must have your parent or guardian’s consent before using the Site.

Acceptance

When you use the Site, you accept the Terms, Privacy Policy, and Cookies Policy. These other Policies are a part of this agreement.

Our Right to Act

It is always our right to refuse to provide our service, end users’ accounts with us, change or remove any content that doesn’t fit into our policy, or cancel orders. We can exercise these at our discretion and without prior notice or reason, especially if you breach the Terms.

2. Utilization of the Site & Regulations

2.1 The License

We grant you a limited right to utilize the Site. This right is non-exclusive and is not transferable by you to any other person. You can use the Site and its content solely for your personal purposes once you adhere to the Terms.

2.2 Acceptable Use (Here is What You Cannot Do)

You accept that you will not to do any of the following activities below, & you will not allow other persons to do them either:

  • You will not carry out any activity on the Site that breaks the law, including but not limited to breaking any local or international law.
  • You will not attempt to violate system security. You will not try to enter networks or collect resources that you don’t have the authority to do, and you will not scan the Site to see if there is a way to hack or perform illegal acts. 
  • You will not collect data or information from the Site using automated tools or any such devices like, bots, scrapers, or crawlers. (Unless we specifically provide our written and express permission for you to do so.)
  • You will not share any content or share anyone who abuses others, speaks for racism, shows hatred to others, defames, or offends others.  
  • You will not use the Site to share harmful code that will introduce viruses, phishing links, or malware to the devices of other users. 
  • You will not use the Site to post or send other users those mass mailings, spam or advertisements that you don’t have the authority to send.  
  • You will not pose as any other person, or present your identity or your affiliation with any entity in a false manner.
  • You will not erase, alter, or change any copyright or trademark notice on the content of the Site.
  • You will not frame, mirror, or reuse the content of the Site, including, by direct linking or inline linking, unless we provide our express permission to do so.

3. User Contributions & Comments

The Site may allow you to post comments or reviews (User Generated Content or “UGC”).

Your Rights and Our Use

  • You retain all rights to the content that you submit.
  • With your submission of the content, you grant us a global, everlasting, and irrevocable license to utilize, replicate, distribute, alter, create derivative works from, publish, and display such content on any platform. We can utilize that content for any purpose that furthers the purpose of the Site, including for promotional purposes.
  • You warrant that you own or control all the rights in the Content, and that the Content does not infringe on any third-party right. You also confirm it follows these Terms.

Our Role

  • We can choose to reject, change, or remove any UGC that breaks these Terms or is otherwise harmful. (But we do not promise to review all content.)
  • We are not responsible for UGC. Any argument or issue you have with another user is your responsibility alone. We will not be liable for those disputes.
  • All content, trademarks, materials, graphics, software, logos, and other intellectual property on the Site (except UGC) is owned by or licensed to us “TorNews”. Copyright, patent, trademark, trade secret & other intellectual property laws protect them.
  • You may not “copy”, “reproduce”, “distribute”, “transmit”, “display”, “perform”, “alter”, “create derivative works” from, “sell” or otherwise use any such content without getting our consent in a written form except as permitted under these Terms.
  • If you perceive any content on the Site to infringe your copyright or other intellectual property rights, please contact us at our designated legal contact (see Section 12 below) with a valid takedown notice that includes all elements required under applicable law, including the DMCA.

5. Disclaimers & No Warranties

The Site and all materials, content, software, information, as well as services are delivered on an “as is” and “as available” basis with no warranty of any kind, either implied or express.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that:

  • The site will be uninterrupted, timely, secure, and error-free.
  • The results of the use of the site will be accurate or reliable;
  • The quality of any content, products, services, or information obtained through the site will meet your expectations.
  • Errors or defects in the site will be corrected; or
  • The site or its servers don’t contain viruses, malware, or other components that are harmful to users. 

We do not make any representations or warranties of any kind as to the content or information on the site.

6. Limitation of Liability & Indemnification

6.1 Limitation of Liability

To the fullest extent acceptable by law:

  • Never will we “TorNews”, our officers, directors, employees, agents, affiliates, partners, licensors, or service providers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, data, goodwill, use, or other intangible losses, arising out of or related to your use of or inability to use the site or services, even if we have been told of the possibility of such damages.
  • Our total aggregate liability for all claims under these terms will not exceed the greater of: (a) the amount you paid, if any, to access the Site during the twelve (12) months preceding the claim; or (b) one hundred usd $100.
  • You acknowledge and agree that this limitation of liability is reasonable and a fundamental part of the deal between you and TorNews.

6.2 Indemnification

You concur to defend, indemnify, and hold harmless TorNews and its affiliates, subsidiaries, officers, directors, employees, agents, licensors and service providers from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising out of or related to:

  • Your breach or violation of these Terms;
  • Your use or misuse of the Site;
  • Your UGC or any content you submit;
  • Your violation of any third-party rights, including intellectual property, privacy or publicity rights; or
  • Any allegation that your UGC caused damage to a third party.

7. Modifications & Interruptions

  • We can adjust, suspend, or terminate the Site (or any part or feature of it) at any time and without notice to you and without liability.
  • We will not be liable to you or to any third party for any changes, suspension or termination of the Site or Services.
  • We can also change these Terms at any time. Any changes will be posted on this page with an updated “Last Updated” date. Your continued use of the Site after the posting of revised Terms will be considered your acceptance of such changes.

The Site may carry links to 3rd party services, websites, applications or resources that are not owned or controlled by TorNews.

These “links” are derived solely for your convenience and do not suggest endorsement, affiliation, or recommendation of such third parties or their content.

We have zero control over and are not responsible for the content, privacy policies, terms of use, or practices of third-party websites or services. 

You agree & acknowledge that you shall not hold us liable for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any third-party content, goods, or services.

If you access third-party content, widgets, embedded videos or services on the Site your information & data may be subject to the privacy policies and terms of those third parties.

9. Governing Law, Resolution of Dispute & Jurisdiction

  • These Terms and your use of the Site shall be subject to and parsed in accordance with the laws of [Your Country / State / Jurisdiction], with no respect to its conflict of law provisions.
  • You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the competent courts located in [Your Jurisdiction / City / Region]. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection based on an inconvenient forum.

10. Termination

We can terminate or suspend your access to and use of the Site at any time, for any reason, with or without notice, effective immediately. This includes but is not limited to if you breach these Terms.

Upon termination or suspension:

  • Your permission to use the Site will end;
  • You must stop using the Site.
  • Any rights you have granted us (including UGC licenses) will survive termination; and
  • We may delete or keep any content or information related to your use of the Site.

Any provisions of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property, disclaimers, limitations of liability, indemnification and dispute resolution.

11. Miscellaneous

Entire Agreement

These Terms, our “Privacy Policy” and “Cookies Policy” are the entire agreement between you and TorNews for your use of the Site and supersede all prior or contemporaneous agreements, representations, warranties and understandings, whether written or oral.

Waiver & Severability

Our failure to exercise or enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. If any part of these Terms is held to be invalid or unenforceable, the remaining parts shall remain in full force and effect.

Assignment

You may not assign, transfer or delegate any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without notice to you.

Notices

We may give notice to you by email, on the Site or by other reasonable means. You must ensure your contact information is up to date and accurate.

No Third Party Beneficiaries

These Terms do not and are not intended to benefit or confer any rights or remedies upon any third party.
